11-Oct-2010: Seneca Holdings Makes Telecomm Deal
ALLEGANY TERRITORY, SENECA NATION - Oct. 11, 2010 - Seneca Holdings LLC, the Seneca Nation of Indians' $28 million business development and investment arm, today announced its first major deal, acquiring a controlling interest in a growing provider of wireless and telecomm services to the government.
The deal, which closed Oct. 7, involves Washington, D.C.-based CT COMM, which will be renamed Seneca Telecommunications LLC. Terms will not be announced.
CT COMM is currently active in the commercial and government telecommunications sectors and recently completed a major wireless project for a leading government agency. The management has extensive experience with major wireless carriers, leading systems integrators and service providers, and many federal government agencies.
"We are very pleased to have invested in CT COMM, and positioned it as Seneca Telecommunications for the future," said Robert Odawi Porter, chairman of Seneca Holdings, which is based on the Allegany Territory outside Salamanca, NY and has a satellite office in Buffalo. "Our management team is exceptional and we believe this is the perfect time to enter the telecommunications market. This acquisition is exactly the type of investment Seneca Holdings has been targeting and we expect it will be a great success."
Community development and job creation are part of the year-old holding company's strategy, but are secondary to maximizing profit. The holding company, formed by the Nation's Council in June 2009, started with $28 million allocated in increments over the next five years. In its first year of operations, Seneca Holdings has built a number of successful operating companies.
Seneca Holdings was formed because of the continued economic and political pressure on the Nation's gaming and tobacco interests, including the constant threat of competition from state-authorized gambling efforts. The Nation wants to expand its economic base by using its current and substantial gaming income to maximize tribal economic advantages to diversify its business interests.
Seneca Holdings is a separate corporate entity established with an appropriate level of separation from the Nation government, but it offers partners an array of tax efficiencies and other benefits based on the Nation's sovereign status.
CT COMM is led by Kevin T. Slattery and Richard M. Grimes. Slattery is a seasoned senior executive with 30 years of experience leading successful companies in commercial and government contracting sectors. Grimes has 15 years of experience in telecommunications and wireless infrastructure project management. Slattery and Grimes will continue with Seneca Telecommunications as its CEO and COO, respectively, as well as board members.
Seneca Telecommunications will be headquartered on the Seneca Nation's Allegany Territory, with satellite offices in Washington and Pasadena, CA.
"I'm delighted to have this opportunity to lead Seneca Telecommunications as we build a strong and admired company in this high-technology sector," Slattery said. "The company - established and structured to provide substantial benefits and opportunities for the people of the Seneca Nation - has a tremendous likelihood of success. I'm proud to partner with Seneca Holdings as we grow Seneca Telecommunications."
The new company will focus on telecommunications and information technology support services for federal agencies. Its mission is to enable federal agencies to meet integrated telecommunications, program and mission demands domestically and overseas.
"I am very excited to be part of Seneca Telecommunications and have the opportunity to help build its revenues and operations," said David Kimelberg, CEO of Seneca Holdings. "We have been in operation for a year and we've accomplished a great deal during that period. This latest acquisition fits perfectly with our overall investment goals and our mission of providing a diverse stream of revenues to our Nation."
In seeking solutions for telecomm program requirements, Seneca Telecommunications will provide strategic leadership and mission support through collaboration and partnerships within the government-contracting community, aligning tools, resources, and expertise to deliver the highest levels of project execution.
"We are committed to executing our strategy to make Seneca Telecommunications a preeminent and respected leader in providing world-class communications and information technology services to our clients," said Grimes. "As the government moves to meet its dynamic telecommunications requirements and growth, Seneca Telecommunications is well positioned to be a market leader in delivering exceptional results."
Seneca Holdings announced in July that Jordan A. Levy, a partner in Softbank Capital and chairman of the Erie Canal Harbor Development Corp., joined the board. Seneca Holdings also owns WGWE-FM 105.9, which began broadcasting in February from Seneca Nation territory. It provides Classic Hits broadcasting, Buffalo Bandits games and Nation and local public affairs programming 24/7.

More About The Seneca Nation of Indians
The Seneca Nation of Indians, one of the six nations of the Iroquois Confederacy, continues to occupy aboriginal
lands in Western New York, including sovereign territories in Niagara Falls and Buffalo. The Senecas' long history
includes passing on constitutional and governmental traditions used by founders of the United States like
Benjamin Franklin. It traditionally controlled trade and protected the Western territories, earning the title
"Keeper of the Western Door." The Nation's five sovereign territories are comprised of 31,095 acres along the
Allegany River and the Southern Tier Expressway, known as the Allegany Territory; 22,011 acres along
Cattaraugus Creek near Lake Erie known as the Cattaraugus Territory; one square mile in Cuba, called the Oil
Spring Territory; approximately 30 acres in Niagara Falls, and approximately 9 acres in Buffalo. The Allegany
Territory contains the City of Salamanca within its boundaries. Tens of thousands of acres of Seneca lands in
southern New York and northern Pennsylvania were taken when the federal government built the Kinzua Dam
and forcibly evicted Senecas from their land in the early 1960s. The Nation today operates a $1.1 billion
economy that employs more than 6,300 people, native and not. It operates and manages a variety of retail,
gaming and casino and hotel operations on its territories. The Nation operates a faithkeepers school, expanded
sports programs for young people, improved health and wellness centers and plans to construct a treatment
center for alcohol and drug addictions. The Nation recently expanded greatly its capital building and social
services operations, with new projects including improvements to roads, sewers, water treatment plants, watersupply
facilities and low-income and elderly housing. The Nation operates a "good-neighbor" policy under which
it seeks to expand its relations with groups, governments, charities, private and public corporations that wish to
interact collaboratively with the Nation. In 2007, the Nation spent more than $90 million with vendors, suppliers
and businesses across Western New York.
12-Jul-2010: Jordan Levy Joins Seneca Holdings' Board
BUFFALO, NY July 12, 2010 - Jordan A. Levy, a partner in Softbank Capital and chairman of the Erie Canal Harbor Development Corp., joined the board of Seneca Holdings LLC, a $28 million effort to diversify the Seneca Nation economy and create wealth for the Nation and its people by investing in and buying companies.
Levy's appointment, announced today by board Chairman Robert Odawi Porter, received approval of the Nation's Council at its meeting on July 10.
Levy currently serves as partner with Softbank Capital, the U.S.-based venture capital group associated with Softbank Corp. that focuses on private equity investments in technology-related companies. In Buffalo, Levy is probably best known for his leadership of the effort to redevelop Buffalo's waterfront.
"Jordan Levy is exactly the sort of entrepreneurial investor we want to help Seneca Holdings LLC reach its full potential over the next five years," said Porter. "At a crucial early stage in our company's development, he brings experience and vision to help us grow."
Community development and job creation are part of the year-old holding company's strategy, but is secondary to profit maximization. The company, formed by the Nation's Council in June 2009, started with $28 million allocated in increments over the next five years.
"I serve on a number of investment-related boards, but Seneca Holdings offers unique opportunities to help the Seneca Nation diversify its economy and allow the companies it invests in to gain from the Nation's sovereignty and financial advantages," Levy said. Levy added, "Seneca Holdings also serves as a valuable partner with business in this region for economic development that benefits both the Seneca Nation and the region in general."
Seneca Holdings focuses primarily on maximizing investment income through passive investments and by acquiring interests in other companies, including those owned by Senecas, and others outside the Nation's territories. Seneca Holdings invests strategically, and eventually seeks to acquire whole companies both regionally and across the United States. In its first few months, it has founded two companies, including a commercial FM radio station serving the Seneca Nation territories and surrounding communities. Its early investments have already added many new jobs to the region. The Nation has allocated investment capital for the next five years starting with $3 million and a commitment to invest $5 million per year for five years.
The company is allowed to reinvest all of its profits during this period. After five years of operation, the company will allocate up to 10 percent of its profits back to the Nation annually based on a scheduled dividend plan. Seneca Holdings has business advantages including: federal tax immunity; state income tax exemption; federal capital gains tax exemption; state sales tax exemption and preferential debt financing and government contracting preferences, among others.
"After a year of operations and strategic hiring, Seneca Holdings is poised to make some key initial investments and Jordan Levy's involvement and guidance in those decisions will be of great value to the company, and ultimately to the Nation," said David Kimelberg, CEO of Seneca Holdings. Kimelberg added, "Jordan joining our board allows our company to further leverage our ability to create value and spur economic development for both the Seneca Nation and the entire western New York region."
Prior to Softbank Capital, Levy served as managing partner of Seed Capital Partners, an early stage technology venture fund that he co-founded in 1999 with his partner Ron Schreiber.
Levy co-founded Upgrade Corporation of America, later known as Softbank Services Group and currently Sitel Worldwide, which is the nation's largest supplier of outsourcing call center services to the technology industry, today employing more than 70,000 people with facilities in 13 countries around the world.
Before that, he helped to found Software Distribution Services, which became the nation's largest distributor of computer software and evolved into what is now Ingram Micro, the world's largest distributor of computer products. Levy served as executive vice president of worldwide sales and marketing.
Previously, Levy was senior vice president of Software Etc., now known as Gamestop (NYSE,GME), a chain of video game stores throughout the United States and now the worldwide leader in video game retail. He started his career in Albany, where he worked as an administrative assistant in the New York State Senate.
Levy currently serves on the Board of Directors of Synaptic Digital, KickApps, CokeM International Ltd., Spanfeller Media Group, HelpSettle, Ziplist, and as Chairman of Buffalo based Synacor. In addition, he serves on the Board of Advisors of the NYC Seed Fund, and the boards of the University of Buffalo Foundation, Fine Arts Academy of Buffalo (Albright Knox Art Gallery), University of Buffalo Office of Science Technology Transfer and Outreach, 43x79 Inc., and is a past President of the Jewish Federation of Greater Buffalo.
Among the numerous awards he has received are the Ernst & Young Entrepreneur of the Year, The U.S. Small Business Administration of WNY Entrepreneur Success Award and the University of Buffalo Distinguished Alumni Award. A graduate of the University of Buffalo, he lives with his wife Holly and two children, Adrian and Jake, in Buffalo.
Other members of the Seneca Holdings management committee, in addition to Porter and Levy, include Richard Nephew, secretary Brad John, treasurer Robert Mele, Al George and Arlene Bova.
The rationale behind the formation of Seneca Holdings is based on the continued economic and political pressure on the Nation's gaming and tobacco interests, including the constant threat of competition from state authorized gambling efforts. Because both Indian gaming and the tobacco industry have uncertain long-term viability, the Nation wants to expand its economic base by using its current and substantial gaming income to maximize tribal economic advantages to diversify its business interests.
Seneca Holdings is a separate corporate entity established with an appropriate level of separation from the Nation government.
